The machine has to "route" traffic based on the static routes defined on
the box. You can view these routes by using "netstat -rn". It has
nothing to do with the number of interfaces. Technically, the "gateway"
for a remote machine on the same subnet is the local machine.

Make sure you do not have the Internet Connection Firewall enabled on
the Win2K box. That would allow the Win2k box to send traffic but not
receive traffic.
